1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of the website, products, and services provided by Golden Synapse Technologies LLC ("Golden Synapse", "we", "us", or "our"), a company headquartered in Dubai, United Arab Emirates, with an engineering office in Kochi, India. By accessing our website, engaging us for services, or using any product operated by Golden Synapse or its brands (including Resource Monk, Sentinel Strix, Nauba, VAQT, and Tamaam), you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Use of Services
Golden Synapse provides enterprise software services including custom ERP systems, process automation, IoT asset management, enterprise application development, AI/ML services, and data & analytics, along with SaaS products delivered under our brands. Any services engaged through a signed statement of work, proposal, or service agreement are additionally governed by the terms of that specific agreement, which take precedence over these Terms in the event of a conflict.
You agree to use our website and services only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, this website by any third party. You are responsible for maintaining the confidentiality of any account credentials associated with our products and for all activity that occurs under your account.
3. Intellectual Property
Unless otherwise agreed in writing as part of a client engagement, all content on this website — including text, graphics, logos, product names, and software — is the property of Golden Synapse Technologies LLC or its licensors and is protected by applicable intellectual property laws. Custom software developed for clients under a signed engagement is governed by the ownership terms set out in that engagement's contract, which will specify the intellectual property rights transferred, licensed, or retained by each party.
You may not reproduce, distribute, modify, or create derivative works from any material on this website without our prior written consent.
4. Limitation of Liability
To the fullest extent permitted by applicable law, Golden Synapse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of our website or services. Our total liability arising out of or relating to a specific engagement will not exceed the fees paid by you to Golden Synapse for that engagement in the twelve (12) months preceding the event giving rise to the claim, except where such limitation is not permitted by law.
Our website and general service descriptions are provided "as is" without warranties of any kind, express or implied, except as explicitly set out in a signed service agreement.
5. Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of our website or services shall be subject to the exclusive jurisdiction of the competent courts of Dubai, UAE, unless a signed client agreement specifies an alternative dispute resolution mechanism.
